1. Acceptance of Terms

By accessing or using PenParse (“the Service”), operated by TensorHub Solutions Inc. (“we,” “us,” or “our”) at penparse.com, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

You must be at least 13 years of age to use PenParse. By using the Service, you represent that you meet this requirement.

2. Service Description

PenParse is a web-based application that converts handwritten documents into digital text using artificial intelligence and vision-language models (VLMs). Users upload images of handwritten content and receive machine-generated transcriptions with confidence scoring.

The accuracy of transcriptions depends on factors including handwriting legibility, image quality, and language. We do not guarantee that transcriptions will be error-free.

3. Account Responsibilities

You may use PenParse without an account (subject to free-tier limits) or create an account using email/password, Google OAuth, or GitHub OAuth. If you create an account, you are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activity that occurs under your account.
  • Notifying us promptly at privacy@penparse.com if you suspect unauthorised access.

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to use PenParse to:

  • Upload or process content that is illegal, obscene, defamatory, or that violates the rights of others.
  • Attempt to gain unauthorised access to our systems, other users’ accounts, or third-party services connected to the platform.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
  • Use automated scripts, bots, or scrapers to access the Service in a manner that exceeds reasonable use or circumvents rate limits.
  • Resell, sublicense, or redistribute the Service or its output without our written permission.
  • Interfere with the operation, performance, or availability of the Service for other users.

5. Intellectual Property

5.1 Your Content

You retain full ownership of the images you upload and the original handwritten content they contain. By uploading images, you grant us a limited, non-exclusive licence to process your content solely for the purpose of providing the transcription service. This licence terminates when you delete your content or your account.

5.2 Our Service

PenParse, including its design, code, algorithms, branding, and documentation, is the intellectual property of TensorHub Solutions Inc. and is protected by applicable copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding.

5.3 Transcription Output

The text output generated by PenParse from your uploaded images is yours to use as you see fit. We claim no ownership over transcription results.

6. Payment Terms

6.1 Subscriptions

PenParse offers free and paid subscription tiers. Paid subscriptions are billed on a monthly or annual basis through Stripe. By subscribing to a paid plan, you authorise us to charge your payment method on a recurring basis until you cancel.

6.2 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date.

6.3 Refunds

We offer a full refund within 7 days of your initial subscription purchase if you are not satisfied with the Service. After this period, payments are non-refundable. Partial-month or partial-period refunds are not provided upon cancellation.

6.4 Price Changes

We may change subscription pricing with at least 30 days’ notice. Price changes will take effect at the start of your next billing cycle after the notice period.

7. Service Availability

We strive to keep PenParse available and performant, but we do not guarantee uninterrupted or error-free operation. The Service is provided on a “best effort” basis without a formal Service Level Agreement (SLA). We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our reasonable control.

8. Limitation of Liability

To the maximum extent permitted by applicable law, TensorHub Solutions Inc. and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Service.

Our total aggregate liability for all claims related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim, or CAD $100, whichever is greater.

9. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that transcription results will be accurate, complete, or suitable for any particular purpose. You are responsible for reviewing and verifying all transcription output before relying on it.

10. Indemnification

You agree to indemnify, defend, and hold harmless TensorHub Solutions Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service at our discretion if we believe you have violated these Terms, with or without notice.

Upon termination, your right to use the Service ceases immediately. We will delete your account data in accordance with our Privacy Policy. Provisions that by their nature should survive termination (including Sections 5, 8, 9, 10, and 12) will remain in effect.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada for the resolution of any disputes arising under these Terms.

13. Dispute Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at privacy@penparse.com. We will make a good-faith effort to resolve the dispute within 30 days.

If informal resolution is unsuccessful, either party may pursue resolution through the courts as described in Section 12.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on our website and updating the effective date. Your continued use of PenParse after changes are posted constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
